Welcome to PayMe 2D Gateway. These Terms and Conditions ("Terms") govern your use of our payment gateway services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for, accessing, or using PayMe 2D Gateway services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

2. Definitions

• Service: Refers to the PayMe 2D Gateway payment processing platform and related services.
• Merchant: Any individual or business entity that registers to use our payment gateway services.
• Customer: End users who make payments through merchants using our gateway.
• Transaction: Any payment processed through our platform.

3. Merchant Registration & Account

3.1 Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Operate a legitimate business
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is current and accurate

4. Services Provided

4.1 Payment Processing

We provide payment gateway services that enable you to accept online payments from customers through various payment methods including credit cards, debit cards, UPI, net banking, and digital wallets.

4.2 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue any part of our services with or without notice.

5. Fees & Charges

5.1 Transaction Fees

You agree to pay the transaction fees as specified in your pricing plan. Fees are subject to change with 30 days' notice.

5.2 Settlement

Funds will be settled to your registered bank account as per the settlement cycle (T+1, T+2, or T+3 days) specified in your agreement.

6. Prohibited Activities

You agree NOT to use our services for:

• Illegal activities or products
• Adult content or services
• Gambling or betting (unless licensed)
• Cryptocurrency trading (unless approved)
• Pyramid schemes or MLM
• Counterfeit goods
• Weapons or explosives
• Drugs or controlled substances
• Money laundering or terrorist financing
• Fraudulent or deceptive practices

7. Compliance & KYC

7.1 Know Your Customer (KYC)

You must complete our KYC verification process by providing:

• Valid government-issued ID (Aadhaar, PAN)
• Business registration documents
• Bank account details
• Address proof
• Website and business information

7.2 Regulatory Compliance

You agree to comply with all applicable laws including but not limited to:

• Payment and Settlement Systems Act, 2007
• Information Technology Act, 2000
• Prevention of Money Laundering Act, 2002
• RBI guidelines and regulations
• PCI DSS compliance standards

8. Chargebacks & Disputes

8.1 Chargeback Liability

You are liable for all chargebacks and disputes raised by customers. We reserve the right to deduct chargeback amounts from your settlements.

8.2 Dispute Resolution

You must respond to customer disputes within 7 days and provide necessary documentation to support your case.

9. Data Protection & Privacy

We are committed to protecting your data. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect your information.

10. Intellectual Property

All content, trademarks, logos, and intellectual property on our platform are owned by PayMe 2D Gateway. You may not use, copy, or distribute our intellectual property without written permission.

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the last 3 months
• We are not responsible for losses due to system failures, network issues, or third-party services

12. Indemnification

You agree to indemnify and hold harmless PayMe 2D Gateway from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your violation of any laws or regulations
• Your business operations or products/services
• Customer disputes or chargebacks

13. Termination

13.1 By You

You may terminate your account at any time by providing 30 days' written notice.

13.2 By Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• Your account shows suspicious or fraudulent activity
• You engage in prohibited activities
• Required by law or regulatory authorities

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or dashboard notification. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.
